Resolution

A resolution is a decision made by the members or directors of company.

Under the Companies Act 2006, resolutions may be ordinary resolutions or special resolutions.

For private companies, resolutions may be passed using either the written procedure or at a meeting of the members. Resolutions of public companies must be passed at a meeting.
