Distribution Agreement

This Distribution Agreement regulates the commercial terms whereby one party, the Supplier (typically a manufacturer), supplies goods and/or services to another party, the Distributor, for resale in a specified territory. The Agreement allows the appointment to be either exclusive or non-exclusive.

This agreement is suitable for use in England, Scotland and Wales where the parties to the agreement are individuals or businesses and includes the following clauses:

• details of the parties
• details of the goods and/or services
• rights and duties of Supplier
• rights and duties of Distributor
• restrictions on Distributor
• title and risk
• marketing
• supply of goods and/or services
• payment
• technical support
• intellectual property rights
• confidentiality
• termination.
